Transaction with securities and their legal regulation

Resume: The aim of my thesis is to define the area of investment banking and point out its specifics in terms of Czech life and institutions in carrying out securities transactions by way of analyzing relevant legislation, its doctrinal interpretation, supplemented by some practical conclusions drawn from relevant case law and opinions of regulatory bodies. The thesis is divided into three separate parts. The first part tries to grasp theoretical concepts used in the title of this work. The definition and nature of security is essential for its later usage in terms of operations which are performed with such securities by investment banks. Types of such operations are defined by various investment services which determine the extent of investment banks' scope of business. In addition to those investment services, the Czech regulatory environment also addresses the status of investment banks whose different models (in terms of their functioning) can lead to terminological questions of why some investment banks are not a bank in a legal sense. Legal issues of commercial and investment banking

This thesis is dedicated to the Financial Law, namely to a special part of this branch of law - Banking Law, with a special focus on legal aspects of commercial and investment banking. This thesis concentrates on the specifics of the universal banking system applied in the Czech Republic. Chapter 1 deals with the general terms and concepts of the Banking Law, namely with the different types of banks and/or other financial institutions, as well as explanation of their different functions in the banking system of the Czech Republic. This chapter furthermore provides general overview of the structure of the banking and financial system of the Czech Republic. Chapter 2 covers the functions and characteristics of two fundamental types of banks, i.e. of commercial and investment banks and provides characteristics of their common features as well as the differences between them, from the perspectives of economics and law. Chapter 3 concentrates on three different banking models, namely on model of universal banking system, segmented banking system and hybrid banking system. This chapter also provides comparison of pros and cons of the above mentioned banking models. The future of investment banking

The goal of my bachelor´s thesis is to describe all the important changes the investment banking went through during the financial crisis and in the years after. On this basis I would also like to try to predict the future development. For this purpose I used the first chapter as a historical review revolving around the most important events which shaped the whole branch. The collapse of the Bretton Wood system and the mortgage crisis are among them. In the second part I focused on an analysis of the two investment banks which play the most important role in the European and American banking - Goldman Sachs and Deutsche Bank. In the last part I evaluate the present trends which create the base for the future development of investment banking.
Analysis and development of US and UK investment banking

The aim of the bachelor thesis "Analysis and development of US and UK investment banking" is primarily to provide a unified view of the issue of investment banking in the global notion and then to compare its developments in England and the USA. The thesis will gradually follow the historic development of investment banking and what regulation and legislative changes has gone through until the present. The main focus of this bachelor thesis will be on the situation in the USA and England before the fall of Lehman Brothers and during the financial crisis in 2008 along with the situation that followed. At the end of this work, there is comparation of four selected banks, two from the USA and two from England, describing their different behaviors during the crisis or the bank itself, looking at different aspects, such as the country of origin.
Implementation of BI module into a SW system in banking institution

The aim of this thesis is to implement Business Intelligence solution in the investment banking sector. The first part of this thesis is focused on general use of Business Intelligence in the banking sector and future developments in this area. Further it defines the objectives and reasons for the implementation of BI in the areas of investment banking. This part also explains basic terms used in investment banking which occur in the thesis and introduces a project in which the Business Intelligence is implemented. The second part focuses on determination of requirements and their analysis from which the data warehouse design is derived. Another part deals with the implementation of the designed data warehouse and ETL packages for loading the data. Further the tool in which the reports are created is described by exemplary implementation of the reports. In the last part of this thesis the implemented BI solution is evaluated by the users.

Investment banking is an important constituent of the financial market. As financial institutions, banks have an irreplaceable part in the functioning of the world's economies. Together with fiscal documents and financial markets they constitute the fundaments of the financial system. The financial market is a complicated system of interconnected relations of particular segments of the market, and investment banking is one such part. Its existence makes it possible to shift the savings of financial resources from saving subjects to ones in deficit by means of mediatory activities, which is performed with the help of various kinds of financial instruments, which are called investment instruments. The mediatory function of investment banking is a basic feature which makes a distinction between investment and commercial banking. Investment banks are main mediators that place released resources (savings) into the stock market. As is well known from the inherent laws of economy, the role of investments is crucial for a healthy circulation and functioning of the state economy. Without them the steady economic growth would be impossible. The offer of investment products for individual clients in the Czech Republic

This bachelor thesis deals with investment products for individual clients which are provided by the banks in the Czech Republic. Given that banking is becoming ever more competitive, for banks is very important to tailor investment services to the needs of their clients. The main aim is to compare the offer of investment products in three chosen banks in the Czech market which are Československá obchodní banka, a. s., UniCredit Bank, a. s. and GE Money Bank, a. s. There are examined differences in investment banking services like a number of offered investment products, banking charges and used processes. According to gained knowledge of banking offers a suitable model portfolio for four clients with a different types of investment profile are created. The model situations are distributed based on the client's relation to the guaranteed yield to maturity and to the risk, previous experience with investing or the amount of free funds, which the client wants to evaluate.
The impact of legislation on information system in a bank institution

This diploma thesis deals with the impact of legislation on information system in a particular bank institution. Based on the proposal of European Market Infrastructure Regulation it identifies areas where the bank institution does not fulfill the regulation requirements. The thesis also tries to suggest existing processes adjustment and guarantee for them the support of information systems. During the existing processes investigation it discovers other weaknesses and suggests solutions leading to their elimination. These solutions would also lead to acceleration and increase in efficiency within the Straightthrough Processing model. The thesis devotes to all points of European regulation which should be fulfilled in the bank institution's point of view. First the current situation and then the solution of the particular point are mentioned. The thesis looks more detailed into central clearing. There are analyzed possible options in the process point of view. The impacts on the information system are specified for the chosen and most appropriate option. In order to secure the compact understanding of investigated issues, the thesis includes relations of European Market Infrastructure Regulation to the BASEL III concept, regulation supervision authorities in the European Union or introduction to functioning and core of financial derivatives.
